Article 1 - Organization
An association as defined by Art. 60 et seq. of the Swiss Civil Code is established under the name SWISS Virtual, with its registered office at Zurich Airport (Kloten).
Article 2 - Purpose
The purpose of the association is to provide a community for SWISS airline enthusiasts, improving flight simulator pilot skills, and supporting aviation careers.
The association operates on a non-profit basis and pursues no commercial purposes.
Article 3 - Resources
The association's operations are funded through:
- Membership fees
- Event income
- Merchandise sales
- Donations
- Sponsorships
- Advertising revenue
Article 4 - Membership
Membership is open to individuals and legal entities.
Membership requires approval by the Board of Directors.
Honorary members receive exemption from fees but have no voting rights.
Article 5 - Termination
Members may resign with 14 days' notice via registered mail or email.
Article 6 - Exclusion
The Board may terminate memberships without stating reasons.
Article 7 - Governance
The organs of the association are:
- The General Assembly (supreme body)
- The Board of Directors (minimum 3 members, voluntary service)
- Auditors (optional)
Article 8 - General Assembly
Annual meetings are held in the second half of the year with 20 days' notice required.
A two-thirds majority is needed for constitutional amendments, with a minimum of 10% member participation.
Article 9 - Board of Directors
The Board of Directors consists of a minimum of 3 members who serve on a voluntary basis.
Article 10 - Auditors
The appointment of auditors is optional.
Article 11 - Authority
Single Board members may authorize transactions up to CHF 100.
Larger amounts require two signatures.
Article 12 - Liability
Only the assets of the association are liable for the association's obligations.
Article 13 - Dissolution
A two-thirds majority vote dissolves the association.
Upon dissolution, assets transfer to a comparable Swiss tax-exempt organization.
